To promote sustainable development, align with international ESG trends, and contribute to economic, environmental, and social progress, Diamond Biofund’s Board of Directors approved the “Sustainable Development Best Practice Principles” and “Sustainability Information Management Guidelines”.
The Board of Directors serves as the highest decision-making and supervisory level for sustainable development and sustainability information management. It ensures alignment between sustainable development, sustainability information management, and business strategy objectives by approving, supervising, and allocating sufficient resources to ensure the effective operation of management mechanisms. In addition, to enhance the effectiveness of sustainability management, Diamond Biofund approved an organizational restructuring proposal at its Board of Directors meeting on December 23, 2024. The ” Sustainable Development and Nominating Committee”, a functional committee chaired by an independent director, is tasked with supervising sustainable development and sustainability information management activities.
Diamond Biofund has established the ” Sustainable Development and Risk Management Task Force,” overseen by the President’s Office. Under the supervision of the President, the task forc is responsible for planning, promotion, compilation, and and review of sustainability-related matters and information.
Under the ” Sustainable Development and Risk Management Task Force,” three functional subgroups/teams are set up: “Corporate Governance”, “Sustainable Finance” and “Social Engagement”. Departments join these task forces based on their duties and responsibilities, carrying out sustainability-related work and communicating with relevant stakeholders through various channels. This process helps understand stakeholders’ demands and expectations of the company. Through discussions in meetings, interdepartmental brainstorming, consensus-building, and action plans are developed, responding appropriately to stakeholders and disclosing sustainability information.

The “Sustainable Development and Risk Management Task Force” shall report to the “Sustainable Development and Nominating Committee” and the board of directors at least once a year regarding management and operations.
In 2024, the Sustainable Development and Risk Management Task Force submitted reports to the “Sustainable Development and Nominating Committee” and Board of Directors on August 9, 2024, and December 23, 2024. The matters reviewed or reported included ESG-related agenda items such as the Sustainability Report, the adoption of the Sustainability Information Management Guidelines, stakeholder engagement activities, the setting of the Company’s greenhouse gas emission reduction targets, the 2024 sustainability implementation status, and the 2025 sustainability action plan.
In 2025, the Sustainable Development and Risk Management Task Force submitted reports or proposals for review to the “Sustainable Development and Nominating Committee” and Board of Directors on February 25, August 8, November 10, and December 22, 2025. The ESG-related matters reviewed or reported included the risk assessment report, the materiality assessment results, stakeholder engagement activities, the Sustainability Report, proposed amendments to certain provisions of the Sustainable Development Best Practice Principles, the implementation plan for adopting IFRS Sustainability Disclosure Standards, the 2025 sustainability implementation status, and the 2026 sustainability action plan.
